Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (the "Terms") govern your access to and use of StayStack's property-management software and related services (the "Service"), operated by StayStack LLC ("StayStack," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

StayStack provides AI-native property-management software for rental properties and lodging facilities, including features for reservations, operations, communications, analytics, and integrations with third-party services. We may update, improve, or modify the Service over time.

3. Accounts and Eligibility

You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must be at least 18 years old and capable of forming a binding contract to use the Service. Notify us promptly of any unauthorized use of your account.

4. License

Subject to these Terms, StayStack grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works of the Service except as permitted by law.

5. Third-Party Integrations and QuickBooks Online

The Service lets you connect third-party services, including QuickBooks Online. When you connect such a service, you authorize StayStack to access and use data from that service as needed to provide the features you request, as described in our Privacy Policy.

• Your use of QuickBooks Online and other third-party services is also governed by those providers' own terms and policies, including Intuit's applicable terms.
• We access connected-service data only to provide the Service and handle it in accordance with our Privacy Policy, keeping each customer's data isolated.
• We are not responsible for third-party services, their availability, or their practices. You may disconnect a connected service at any time.

6. Acceptable Use

You agree not to:

• Use the Service in violation of any law or regulation;
• Access or attempt to access another customer's data;
• Interfere with, disrupt, or compromise the security or integrity of the Service;
• Introduce malware or attempt to gain unauthorized access to our systems;
• Use the Service to infringe the rights of others or transmit unlawful content.

7. Customer Data and Ownership

As between you and StayStack, you retain all rights to the data you submit to or generate through the Service ("Customer Data"). You grant us a limited license to host, process, and use Customer Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for ensuring you have the rights necessary to provide Customer Data to the Service.

8. Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by StayStack and its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in our trademarks or branding.

9. Fees

Certain features of the Service may require a paid subscription. Applicable fees, billing terms, and renewal details will be presented to you at the time of purchase. Unless stated otherwise, fees are non-refundable.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the maximum extent permitted by law, StayStack LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100) if you have paid nothing.

12. Indemnification

You agree to indemnify and hold harmless StayStack LLC and our officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Service, your Customer Data, or your violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends, and we may delete your data in accordance with our Privacy Policy and applicable law.

14. Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict-of-laws principles. The exclusive venue for any dispute will be the state and federal courts located in Oregon, unless otherwise required by applicable law.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
